1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of AdWizard+ ("Service"), operated by AdWizard+ ("we", "us", "our"). By registering an account or using any part of the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.
2. Service Description
AdWizard+ is an AI-powered marketing automation platform that allows users to:
- Generate advertising images and copy using artificial intelligence.
- Manage product catalogs imported from their websites or Facebook/Instagram.
- Publish content directly to connected Facebook and Instagram business accounts.
- Receive AI-generated promotion ideas based on their business profile.
The Service is currently in early testing. Features, pricing, and availability may change without prior notice.
3. Account Registration
To use AdWizard+, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately at [email protected] if you suspect unauthorized access.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
4. Subscription Plans and Billing
AdWizard+ offers several subscription plans, including a free tier. Paid plans are billed monthly via Stripe. By subscribing to a paid plan:
- You authorize us to charge your payment method on a recurring basis.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Prices are stated in EUR and include applicable taxes unless stated otherwise.
- Downgrading or cancelling a subscription takes effect at the end of the current billing period.
We reserve the right to modify pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new prices.
5. Top-Up Balance and Credits
Certain operations (extra image generations, ad creations, text optimizations) may be charged against a prepaid top-up balance. Top-up credits are non-refundable and have no cash value. They expire 12 months after purchase if unused.
6. Acceptable Use
You agree to use AdWizard+ only for lawful purposes and in accordance with these Terms. You must NOT:
- Generate content that is illegal, defamatory, hateful, sexually explicit, or infringes third-party rights.
- Use the Service to spam, harass, or mislead consumers.
- Attempt to reverse-engineer, scrape, or exploit the Service's infrastructure.
- Use automated tools to access the Service beyond the provided API.
- Misrepresent ownership of domains, products, or business accounts you connect.
- Publish content that violates Meta's (Facebook/Instagram) Community Standards or Advertising Policies.
We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
7. Your Content
You retain ownership of all content you upload or create using AdWizard+ ("User Content"), including product images, descriptions, and generated ad creatives.
By using the Service, you grant us a non-exclusive, worldwide, royalty-free licence to store, process, and display your User Content solely to provide and improve the Service. We will not use your content for any other purpose.
You represent and warrant that your User Content does not infringe any third-party intellectual property rights and that you have all necessary permissions to use and publish it.
8. AI-Generated Content
AdWizard+ uses third-party AI models to generate images and text. You acknowledge that:
- AI-generated content may occasionally be inaccurate, inappropriate, or unexpected.
- You are solely responsible for reviewing, approving, and publishing any AI-generated content.
- We do not guarantee that AI-generated content is original or free from third-party intellectual property claims.
- Publishing AI-generated content must comply with Meta's policies and applicable advertising regulations.
9. Third-Party Integrations
AdWizard+ integrates with Meta (Facebook/Instagram) via the Meta Graph API. Your use of these integrations is subject to Meta's own Terms of Service and Policies. We are not responsible for changes to Meta's API, downtime, or suspension of your Meta account.
Domain ownership is verified before product imports. You must not attempt to import products from domains you do not own or have permission to use.
10. Intellectual Property
All software, design, trademarks, and other materials comprising AdWizard+ (excluding User Content) are owned by or licensed to us. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written consent.
11. Disclaimers and Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, non-infringement, or uninterrupted availability.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost profits, loss of data, or damage to reputation.
Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid us in the three months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless AdWizard+ and its affiliates, officers, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
13. Termination
You may delete your account at any time from the account settings. We may suspend or terminate your access if you breach these Terms, fail to pay for a paid plan, or if we discontinue the Service.
Upon termination, your right to use the Service ceases immediately. Generated content and data will be deleted within 30 days unless a longer retention is required by law.
14. Governing Law
These Terms are governed by the laws of Romania, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Romania.
15. Changes to These Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or an in-app notice. Continued use of AdWizard+ after the effective date constitutes acceptance of the updated Terms.
